Terms and Conditions of Membership

General Terms and Conditions
 
1.	The GoldOne Hotel & Suites Membership Programme (the “Programme”) is operated and administered by Orange Development Ltd (the “ODL”). The Programme will provide guests of GoldOne Hotel & Suites (“GoldOne”) that is participating in the Programme the opportunity to receive certain benefits from GoldOne from time to time. The terms and conditions applicable to the Programme are set out in these “Terms and Conditions”.
2.	Members acknowledge and agree that their participation in the Programme is subject to and contingent on Member’s acceptance of the GoldOne Privacy Policy found at: https://www.GoldOnehotel.com/en/page/privacy_con . These policies and notices are deemed to be incorporated into these Terms and Conditions.
3.	Membership to the Programme will only be granted to individual persons. GoldOne may grant or deny membership in the Programme in GoldOne’s sole discretion, without the need for any reason or explanation. Individuals must be at least 18 years of age or have reached the age of majority, if older under applicable local laws. It is a Member’s sole and exclusive responsibility to ensure that they comply with these age requirements. Corporations and/or organizations are not eligible to enrol in the Programme.
4.	Individuals who apply for and are granted membership in the Programme (“Member” or “Members”) are eligible for Programme benefits when they stay at a GoldOne as a paying guest and for exclusive Member-only access and offers (collectively “Benefits”). All Members acknowledge and agree that they must satisfy the age requirements specified above in order to legitimately benefit from membership in the Programme.
5.	Membership in the Programme is free, has no cash value and is not commissionable. No purchase is required to apply for membership in the Programme.
6.	Enrolment in the Programme can be made online at https://goldone.arcabooking.com/bbs/register.php (“Programme Gateway”). By enrolling and / or participating in the Programme, Members agree to abide by these Terms and Conditions. To enrol in the Programme, guests must provide their first and last names as well as a valid email address, Mobile phone number and a password. Upon successful enrolment, Members will be assigned an individual Member ID.
7.	GoldOne reserves the right to amend or modify the Programme, Programme structure and/or these Terms and Conditions at its sole discretion at any time, with or without notice. Programme modifications may include changes to Benefits, redemption requirements and the features of special offers. A Member’s continued use of the Programme will constitute acceptance of the amendments and modifications.

9.	GoldOne may immediately suspend or terminate a Member’s membership in the Programme at any time without notice and/or for any reason, and in GoldOne’s sole discretion; including without limitation, if GoldOne suspects (even if not proven) the Member has breached or violated these Terms and Conditions, engaged in misuse or wrongdoing in connection with the Programme, acted in a fraudulent, inappropriate, hostile or abusive manner, failed to pay any amount due to GoldOne, acted in a manner inconsistent with any applicable law, regulation, rule or ordinance, or resides in or relocates to a country where membership is prohibited under applicable law. Such termination will result in an automatic forfeiture of any Benefits and Member will no longer be able to participate in the Programme (a record of such termination will be retained on GoldOne’s records). Nothing contained in these Terms and Conditions shall limit GoldOne in the exercise of its legal or equitable rights or remedies.
10.	Members acknowledge and agree that GoldOne reserves the sole and exclusive right to the interpretation of these Terms and Conditions. In the event of any dispute with Members, the determination of GoldOne of the dispute will be final, without right of further appeal.
Programme Membership
 
1.	Membership in the Programme is free and available to individuals residing in countries that legally permit participation in such programmes. Participation in the Programme indicates acceptance of these Terms and Conditions as well as any changes or modifications made to them by GoldOne from time to time.
2.	No Member may transfer, assign or otherwise dispose of their Programme membership to a third party.
3.	By enrolling in the Programme, consent is given to GoldOne to collect and use Member’s personal information in connection with the Programme. By providing contact information, Members agree to receive marketing communications, including offers and promotional messages, from GoldOne where lawfully permitted to do so, such as where Members have provided consent.
4.	GoldOne is not responsible for communication errors resulting from a change to Member’s email address or contact information. Any change to Member’s email address should be made to Member Services. Members can log into their online account on the Programme Gateway.
5.	Members are solely responsible for ensuring that access to their online membership in the Programme is protected using a confidential and strong/secure password, and such password must not be disclosed to any other party. GoldOne cannot be held liable for the consequences of any unauthorized access to a Member’s account.
6.	Providing fictitious, incorrect or false information may result in termination of your Programme membership and forfeiture of all Benefits.
7.	An individual is not permitted to have more than one Membership. In the event more than one account number is assigned to the same individual, the duplicate account may be cancelled by GoldOne, and only the Benefits, excluding any welcome Benefits, will be transferred to the remaining account as determined by GoldOne in its discretion.
8.	Membership may be cancelled by a Member at any time by notifying Member Services by email. Cancellation may take up to two (2) weeks to finalize. Upon cancellation, membership will be deactivated and any offers or unused Benefits will be forfeited.
9.	Any Membership that has been inactive for a period of not less than five years may be terminated by GoldOne, in its sole discretion, with any unused Benefits being forfeited. Membership will also automatically terminate upon the death of the Member, with any unused Benefits being forfeited.
 
Data Privacy and Membership Communications
 
1.	Member accepts and explicitly agrees that personal information which is supplied by or on behalf of Member when enrolling for membership in the Programme and/or supplied to and/or obtained by GoldOne during the course of the Member’s membership in the Programme, will be processed by GoldOne in accordance with the GoldOne Privacy Policy (found at: https://www.goldonehotel.com/en/page/privacy_con ). In particular, but without limitation, GoldOne processes Members’ personal information as follows:
1.	GoldOne will collect, retain and process Members’ names, contact details, demographics, preferences (including food allergies, medical conditions and other sensitive data, where lawfully permitted to do so) and transaction data (collectively, “PII”) from the information Members provide GoldOne, and from personal interactions Members have with service staff at properties managed by GoldOne, in order for GoldOne to inform Members of and/or provide Members with the services GoldOne thinks Members may be interested in or that Members may request from GoldOne from time to time.
2.	Members’ PII will be shared with GoldOne’s network of companies and the service providers that assist GoldOne with administering Members’ PII (collectively, “GoldOne Network”). Accordingly, a Member’s PII may be transferred to, processed in and stored at a country outside a Member’s country of residence (including outside the EEA, if the Member is an EEA resident).
3.	The GoldOne Network will contact Members by letter, email, phone, text and/or fax to inform Members of news and promotions regarding hotels, travel, food & beverage, spa, conferencing, fashion and real estate products and services that are related to or associated with the Programme where lawfully permitted to do so, such as where Members have provided consent.
2.	Members may opt-out of receiving communications under the Programme by updating their online Member profile via the Programme Gateway or by directly notifying Member Services. Any other methods of opting-out will not be valid or acceptable unless otherwise agreed to in writing by GoldOne. However, in exercising such opt-out, the Member’s access to Benefits may be limited or otherwise restricted as a result.
3.	Programme communications will be sent to the Member’s mailing address, email address, phone number or such other contact details as provided in the Member’s account. Members are solely responsible for keeping their email, phone numbers, mailing addresses and other contact details current, and for keeping all such contact details secure against unauthorized access.
4.	Members may change personal details held by GoldOne at any time by accessing their Programme membership account via the Programme Gateway. GoldOne may require Members to send supporting documentation satisfactory to GoldOne, prior to allowing certain changes to Members personal details (e.g., legal name changes).
5.	GoldOne may disclose details of Members’ membership in the Programme to the extent required by applicable laws and regulations, or as may be required by court order.
 
Programme Benefits
 
1.	Members acknowledge and agree that, with respect to Members’ use and enjoyment of Benefits at a GoldOne: (a) the actual use and enjoyment of Benefits by a Member is not provided by GoldOne itself but by the GoldOne at which the Member elects to use or enjoy the Benefits; (b) GoldOne utilises the Programme to facilitate communications between the Members, so the Members can obtain the Benefits direct from the GoldOnes; (c) any claims, damages, liabilities and expenses of any kind or nature arising from, relating to or associated with the Member’s use or enjoyment of the Benefits at a GoldOne will be brought by the Member exclusively against that GoldOne only, and will be subject to the Member’s contract with that GoldOne (whether express or implied) for the provision of the Benefits to the Member (“Local Contract”); and (d) the Local Contract will be governed by the local laws and venue applicable to that GoldOne supplying the Benefits to the Member.
2.	A list of the currently available Benefits can be found at https://www.goldonehotel.com/en/ . Such Benefits may be changed, substituted or deleted by GoldOne from time to time at GoldOne’s discretion and are subject to availability.
3.	Except as expressly set forth in these Terms and Conditions, Benefits made available to Members are void if a Member sells, barters, auctions, donates, assigns, conveys, or otherwise transfers them (or makes any attempt to do so) in a manner not expressly allowed by these Terms and Conditions or otherwise permitted by GoldOne (in writing) in its sole discretion.
4.	Benefits are subject to all applicable laws, rules, regulations, ordinances and may be subject to applicable taxes and fees. All taxes and fees are the sole responsibility of the Member.
5.	Members will only be entitled to receive the Benefits if they have clearly identified themselves to the GoldOne front desk staff at check-in and provided their Membership ID number.
6.	Some Benefits may not be available.
7.	Unless otherwise stated, the Benefits cannot be used in conjunction with any other promotions or discounts.

Indemnification and Liability
 
1.	Members hereby agree to waive and release, indemnify, hold harmless, and forever discharge, and covenant not to sue GoldOne, its shareholders, employees, agents or contractors (collectively “Indemnified Parties”) for any and all claims, damages, liabilities and expenses of any kind or nature arising from, relating to or associated with the Member’s Membership under the Programme and/or Member’s use or enjoyment of the Benefits.
2.	In the event Member has any complaint, dissatisfaction, claim or other issue of any kind or nature arising from, relating to or associated with the Member’s Membership under the Programme and/or Member’s use or enjoyment of the Benefits, Member’s sole and exclusive remedy against GoldOne will be termination of its membership in the Programme.
3.	IN NO EVENT WILL THE INDEMNIFIED PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THE PROGRAMME OR THESE TERMS AND CONDITIONS.
 
Other Terms
 
1.	No Warranties or Representations, Express or Implied. GoldOne makes no warranties or representations, either expressed or implied with respect to type, quality or fitness of goods or services provided through the Programme or by GoldOne.
2.	Not Responsible for Acts, Errors, or Omissions. GoldOne is not responsible for: (a) any loss or misdirection of, or delay in receiving, any Member application, correspondence, redemption requests, or Benefits; (b) theft or unauthorized redemption of Benefits; (c) any acts or omissions of third parties (including, without limitation, GoldOne); or (d) any errors published in relation to the Programme, including, without limitation, any pricing or typographical errors, errors of description, errors regarding GoldOne, and errors in the awarding of Benefits to Members. GoldOne reserves the right to correct, without notice, any errors.
3.	Prevailing Language. In the event of any discrepancy between the English version and any translated version of these Terms and Conditions, the English language version will prevail.
4.	Waiver. GoldOne’s waiver of any breach of these Terms and Conditions by any Member will not constitute a waiver of any other prior or subsequent breach of these Terms and Conditions. GoldOne’s failure to insist upon strict compliance with these Terms and Conditions by any Member will not be deemed a waiver of any rights or remedies that GoldOne may have against that, or any other, Member. GoldOne may waive compliance with these Terms and Conditions in its sole discretion and may run promotions from time to time that provide enhanced benefits to select Members.
5.	Severability. If any provision of these Terms and Conditions is declared invalid by order, decree or judgment of a court of competent jurisdiction, these Terms and Conditions must be construed as if such provision had not been inserted herein, and such invalidity will not affect the other provisions of these Terms and Conditions. All provisions not affected by such invalidity will remain in full force and effect.
6.	Governing Law. Membership in the Programme and any complaint, dissatisfaction, claim or other issue raised against GoldOne in relation to or associated with the Programme will be subject to the laws of Republic of Korea.
7.	Dispute Resolution. Members agree that all disputes, controversies or claims arising out of or relating to these Terms and Conditions and/or the Member’s membership in the Programme, or the breach, termination or invalidity thereof, must be settled by arbitration in accordance with the Republic of Korea Arbitration Centre Arbitration Rules. The place of arbitration will be Republic of Korea. There will be one arbitrator and the language to be used at the arbitral proceedings will be Korean only.
8.	Entire Agreement. These Terms and Conditions, together with those incorporated herein or referred to herein constitute the entire agreement between GoldOne and Members relating to the subject matter hereof, and supersedes any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except as agreed in writing, or as may be unilaterally amended or modified by GoldOne in accordance with these Terms and Conditions.
 
 
Indemnification
 
You agree to defend, indemnify and hold harmless the GoldOne, its affiliates, parents, subsidiaries, managers, management companies, agents, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use .
 

Waiver and Severability
 
No waiver of by the GoldOne of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the GoldOne to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
 
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
 
Entire Agreement
 
The Terms of Use and the Privacy Policies constitute the sole and entire agreement between You and the GoldOne with respect to the Programme and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Service.

1. Collection of Personal Information; Purposes of Collection; Items to Be Collected; and Methods of Collection

A. When you sign up for the Company’s membership, we collect your personal information as may be required to identify you and provide e-commerce services. The personal information to be collected by the Company is as follows:

C. D. We collect your personal information from your application of the membership on our website, written notices, facsimile or phone communications, online messages, your application to our promotional events and/or any other communications.

2. Disclosure and Sharing of Collected Personal Information

A. We will not use or disclose to any third party any of your personal information, without your consent or except as required by law, for purposes other than those intended hereunder and specified herein.

B. If any business relation is formed through the services we provide, relevant information will be disclosed to the parties in question to the extent necessary for the conduct of transactions, subject to members' consent.

C. In the event that the rights and obligations of a service provider is fully assigned or transferred as a result of sale, merger or acquisition, we will ensure that we inform you in advance of details of the reasons and procedures for such assignment or transfer and that you have the right to withdraw your consent to the use of your personal information.

D. Where your personal information is to be disclosed or shared, we will seek your consent in advance by notifying you by email or otherwise in writing of what items of such information will be disclosed or shared, whom the information will be disclosed to or shared with, why it should be disclosed or shared, and how and how long it will be protected and managed. The same procedures will apply in case the information recipient is changed.

E. Your personal information may be disclosed without your consent in accordance with applicable provisions of relevant laws:
- when needed to perform a contract relating to the provision of services;
- when duly and reasonably requested by an investigation authority for investigation purposes; or
- when made available in unidentifiable form for the compilation of statistics or for academic or market research purposes.

3. Outsourcing the Handling of Personal Information

We may share the collected personal information of customers with an external business/company to provide a better service. In such incidents, the Company will promptly notify the customers about the external business/company and details of the consignment for prior consent.

4. Collection of Personal Information using Cookies

A. Use of Cookies
We use Cookies for the convenience of users. The information we collect through Cookies includes your username and IP address and is used to keep you logged in and display personalized advertising messages.

B. Installation and Use of Cookies; and Refusal of Use
You have the option to accept or decline the installation of cookies and may set your web browser to accept all Cookies, alert you whenever a cookie is stored, or disable or block the storage of cookies. Disabling or blocking the storage of Cookies may limit your access to services requiring you to log in.

5. Retention and Destruction of Personal Information

The Company will retain your Personal Information until the purposes of collection or disclosure of such information are accomplished and will destroy your Personal Information immediately when such purposes are accomplished or upon the expiration of a retention period permitted by your consent. The times when we are required to destroy your personal information are as follows:
- Your membership information is destroyed when you withdraw or are dismissed from GoldOne Hotel & Suites membership.
- Your delivery information is destroyed when a product or service has been delivered or provided.
- Your information collected for a survey or promotional event is destroyed upon when such survey or event is over.
- The information used to identify you is destroyed when your identity has been verified.
Notwithstanding the foregoing, when any of your personal information needs to be retained under relevant laws or internal regulations, we may retain such information
(i) for a period of five (5) years if it pertains to the revocation of contracts or subscriptions;
(ii) for a period of five (5) years if it relates to the supply of goods or services and payments therefor; or for a period of three (3) years if it pertains to the handling or resolution of complaints or disputes.

6. Rights and Obligations of Users and Exercise of Rights

A. You have the right at any time to view, correct or delete your registered Personal Information, have it corrected or deleted, have its processing suspended or withdraw your consent to the use and disclosure thereof, directly on the our website or by contacting our Privacy Officer in writing, by telephone (at 064-801-5000) or by email, in which case we will respond forthwith after identity verification.

B. If you request that we correct an error in your registered personal information, such information will not be employed or disclosed until such correction is made accordingly. Where any incorrect part of your Personal Information has been disclosed to any third party, we will have it corrected by giving immediate notice to such third party.

7. Measures for Security of Personal Information

In handling your Personal Information, we use our best efforts to prevent such information from being lost, stolen, leaked, falsified or damaged by taking the following technical, administrative and physical measures for security assurance:
- Minimum number of information workers and training
Personal Information is made accessible to the smallest possible number of people and regular training is provided to such people.
- Regular in-house audits
In-house internal audits are conducted on a regular basis for the security of personal information.
- Internal management plan
An internal management plan is developed and implemented for safe handling of personal information.

8. Gathering of Opinions and Handling of Complaints

A. We value your opinion and feedback, and you are entitled to have your questions answered in a professional manner.

B. All inquiries can be made by email, fax or mail and we will endeavor to respond within 24 hours of receipt thereof. However, if received after working hours or during weekends and holidays, such inquires will be dealt on the following business day.

C. If you want to report a breach of your privacy or seek advice thereon, please contact:

10. Privacy Protection for Children under the Age of 14
The Company does not collect any Personal Information of our customers' children under the age of 14 in compliance with the Juvenile Protection Act. If we need to collect Personal Information of the minors under the age of 14 with respect to our hotel business, we will obtain consent from their legal representatives or guardians.

11. Transmission of Advertising Messages
A. We do not send you any advertising messages for commercial purposes so long as your unsubscribe request is expressly given.

B. If we send any advertising message by email or otherwise for online marketing purposes such as presenting product information, we will ensure that in a plain and legible manner:
- 'The email's subject line communicates what the email is about, although it may not indicate “Advertisement” and
- The body text contains the sender’s name, email address, phone number and mailing address, as well as instructions on how to unsubscribe, so that the recipient can readily unsubscribe from further advertisements.

C. Likewise, if we send you an advertising message for commercial purposes by fax or mobile text message or via non-email means, we will ensure that the sender’s name is indicated in such message, even if you have agreed to the receipt of advertising messages.

12. Linked Sites
A. We may provide you with links to websites or materials of other companies, in which case we assume no responsibility for and make no guarantee as to the quality of such websites and materials over which we have no control.

B. If you move to another website by clicking a link appearing on the Company’s website, we recommend that you carefully read the privacy policy of such website, as it is beyond the control of GoldOne Hotel & Suites.

13. Posts
A. We value the comments, suggestions, opinions, statements and other content posted by our customers (collectively “posts”) and use our best efforts to protect such posts from being tampered with, damaged or deleted. Notwithstanding, this does not apply to the following:
- Spam-like messages (e.g., chain letters and advertisements)
- Posts that defame others by disseminating false information to slander them maliciously and
- Posts that reveal the identity of other users without their consent, infringe on third parties’ copyrights or other rights or are irrelevant to the themes of the bulletin board
- If a post is found to reveal the identity of other users, the Company may delete or correct part of such post in order to maintain and promote a healthy online community culture.
- If the content of a post is deemed movable to another section, the Company will provide a path in such posts to avoid misunderstanding or confusion.
- The Company may delete other posts deemed malicious or improper after giving express or individual warnings

B. Essentially, you have the rights to your posts and are responsible for them. It is difficult for the Company to protect information you disclose voluntarily via a post, so we recommend that you give careful consideration before such disclosure.

14. Changes to the Privacy Policy
If any change is made to this Privacy Policy by addition, deletion or correction due to a modification or revision in relevant laws, government policies or the Company’s internal regulations, or a change of security technology, the Company will post such change immediately on its website.

This Privacy Policy shall come into full force and effect on the 2nd of May 2022.
